Corporate & Business Services

Ardis Law provides a broad range of services to our business clients including company formation, governance, operations and transactions. We take pride in understanding our clients’ business, as well as their goals.  We provide practical guidance and solutions to their ongoing corporate and business needs.

The formation and structuring of a business has a substantial impact on its operations, profits and ultimate success.  We assist our clients in this process whether forming entirely new enterprises, creating new subsidiaries of existing companies, or restructuring the operations of companies.

We also provide continuing corporate governance services and support for both newly formed and on-going businesses. We assist our clients with the initial and ongoing development and structure of the system of rules, practices and processes that govern the direction and management of the business.  Our services include drafting and reviewing corporate bylaws and policies, advising on board and shareholder meetings, providing guidance on compliance and regulatory matters, and representing the company in legal disputes.

We also help our clients manage the relationships of the business with its employees, independent contractors, owners, investors, managers, officers, customers, suppliers, lenders, and local, state and federal governments (including regulatory compliance). Not only do we provide advice and counsel, but we review, draft, and negotiate a panoply of types of agreements and terms needed in managing those relationships.  We strive to ensure that our contracts accomplish the goals of our clients, clearly define the rights and responsibilities of the parties; and minimize risk to our clients.

Operations: We review, draft and negotiate management agreements, brokerage contracts, and co-working space agreements.

We assist with purchase and sale due diligence, including lease abstraction and other leasing due diligence; and we assist with the leasing aspects of corporate merger and acquisition transactions.
