Our commercial real estate clients include institutional lenders, private sources of capital, limited liability companies, partnerships, corporations, non-profit organizations, and individuals.

Our representation includes both sellers and purchasers and many types of real estate, including land, shopping centers, retail spaces, restaurant spaces, brewery and distillery locations, hotels, office buildings, convenience store locations, out parcels, warehouses, mixed use projects, multi-family projects, and co-working spaces. Some of the more specific areas comprising our commercial real estate practice are:

Acquisition and Disposition: We review, draft, negotiate and document the purchase, sale, or tax-free exchange of real estate; and we assist in title, survey and other “due diligence” issues.

Finance: We assist in structuring and negotiating institutional or private financing for acquisition, development, and operation of real estate for borrowers and lenders, including construction, development, permanent, purchase money, and sale-leaseback financing.

Operations: We review, draft and negotiate management agreements, brokerage contracts, and co-working space agreements.

Commercial Leasing: We review, draft and negotiate new leases, amendments to leases, subleases, ground leases, sale leasebacks leases, assignments of leases, subordination, non-disturbance and attornment agreements, tenant estoppel certificates, letters of credit, guarantees, and other agreements and documents ancillary to commercial leasing. We assist with purchase and sale due diligence, including lease abstraction and other leasing due diligence; and we assist with the leasing aspects of corporate merger and acquisition transactions.

Workouts: Representing lenders and borrowers in restructuring troubled loans, including reorganizations, workout agreements, receiverships, foreclosures, and bankruptcies.

Real Estate Litigation:   Our representation includes all types of real estate related litigation, such as disputes involving purchase or sale transactions, commercial leases, title issues, title insurance claims, dispossessory actions, distress proceedings, use restrictions, and co-tenancy issues, receiverships, foreclosures and levy actions (real and personality); and representation or lessors, lenders, and other creditor parties in bankruptcy proceedings.
